Former Transport Minister and MCA president Tun Dr Ling Liong Sik has become the highest-ranking person yet to be charged with cheating the Government over the Port Klang Free Zone (PKFZ) scandal and he pleaded not guilty.
The party stalwart — the fifth person to be charged over the PKFZ saga — is out on a RM1mil bail after appearing at the Sessions Court here yesterday.
Accompanied by his wife Toh Puan Ena Ling and sons Hee Leong and Hee Keat, Dr Ling later told reporters that he had faith in the country’s judicial system.

On 30 July 2003, Kuala Dimensi via Special Port Vehicle Bhd issued a RM1.31 billion bond secured against payment stream from the Land Agreement. Kuala Dimensi is supposed to fully reclaimed the land and built basic infrastructure as per Land Acquisition agreement.

On 24 November 1997, WBGB, via its wholly-owned subsidiary, Great Profile Sdn Bhd (“GPSB”) entered into a conditional sale and purchase agreement to acquire approximately 753.1 acres of Property (“GPSB Properties”) from KDSB for a cash consideration of RM747.006 million.
GPSB has paid a total sum of RM310 million cash which includes a deposit and part payment of the purchase consideration for the GPSB Properties. GPSB obtained the cash from the proceeds of the subscriptions by WBGB of new ordinary shares and redeemable cumulative preference shares in GPSB. In addition to that, GPSB has assumed all the obligations and liabilities from KDSB in relation to the bridging loans of RM210 million from Sabah Development Bank (“SDB”). KDSB subsequently received a notice of acquisition dated 14 January 2000 regarding the loan being acquired by Danaharta. GPSB therefore has an obligation to Danaharta for the repayment of loans assumed.
The amount owing to Danaharta will be restructured as follows :
a) proposed partial waiver on interest outstanding as at 31 May 2000 and proposed full waiver on interest due from 1 June 2000 to the date of completion of the Proposals;
b) proposed waiver of all penalty charges;
c) proposed conversion of the entire principal amount of RM210.3 million into RCB A and the remaining interest and other charges after (a) of RM65.26 million into RCB B; and
d) proposed option for Danaharta to put both RCB A and RCB B to DST at 100% of nominal value plus a holding cost of 8.5% less any coupon received.
3.2. Amount owing to KDSB
As at 30 May 2000, the outstanding amount owing to KDSB is RM227.006 million. RM100 million will be withheld as retention sum pending completion of land reclamation and construction of infrastructure works to be carried out by KDSB. The remaining balance of RM127.006 million will be converted into Zero Coupon RCULS.

History is repeating again. On 28 November 1997 (only 2 weeks ago), Tan Sri Ting Pek Khiing reached an agreement to sell about 24.44 million shares (or 22%) of Pacific Chemical equity to the same Dato Tiong King Sing for an undisclosed price. It also reported that Pacific Chemical (listed in Kuala Lumpur stock exchange) will also buy 2 more companies from Dato Tiong King Sing for RM654.5 million. It involves 99.9% of a company called Great Profile Sdn Bhd for RM25 million in cash and RM502 million in new cumulative redeemable preference shares; and 45% of a company called Wijaya Baru Sdn Bhd for RM157.50 in cash. Great Profile recently agreed to buy 753 acres land near Port Klang for future industrial, commercial and residential development. Wijaya Baru Sdn Bhd is in construction and land reclamation. This highlight the following:
This 22% share sale deal means that the buyer has the control of the company, but without giving the minority the opportunity to a general offer of their shares.
• The purchases of the two companies are done in cash, so to avoid the approval of Securities Commission scrutiny.
• This is another classical example where Tan Sri Ting Pek Khiing get bail out. The buyer get control of a listed company. The buyer also get back his money by pushing his own asset injected to the listed company. Is this in the minority shareholders interest? Do we have the necessary government machinery and dependent enforcement to ensure minority shareholders interest are protected?

Kuala Diminsi has sold the land (753.1 acres) to Great Profile Sdn Bhd in 24 November 1997 and the transaction was completed in 1999.
The land was sold for RM747.006 million plus taking over all obligations and liabilities of the bridging loan of 210 million that Kuala Dimensi has obtained from the now defunct Sabah Development Bank. The land was also charged to Bank of Commerce Berhad for a loan of RM250,000.00 taken in 6 March 1998.
Note: Danaharta took over the loan portfolio from Sabah Development Bank Berhad in january 2000.

"The thing about black money is you can claim it's being used for all kinds of things," the British reporter David Leigh tells Bergman. According to the charge sheet, Dr Ling is alleged to have deceived the Malaysian government between Sept 25 and Nov 6, 2002 by deceiving the Cabinet on Level 4, Prime Minister's Office, Bangunan Perdana Putra in the Federal Territory of Putrajaya, into agreeing on the land purchase in Pulau Indah for the mega distribution hub project in Port Klang according to the terms agreed to between Kuala Dimensi Sdn Bhd and the Port Klang Authority.
The terms in the agreement included:
a) the size of the land being 999.5 acres or 43,538,200 sq ft;
b) the purchase price for the land being RM25 per sq ft amounting to a total of RM1,088,456.
c) the repayment period being based on a "deferred payment" of 15 years with an interest rate of 7.5 per cent per annum (total RM720,014,600), and thereby dishonestly hiding the fact that the valuation by the Valuation and Property Service Department, Ministry of Finance on the land was RM25 per sq ft for a repayment period of 10 years or RM25.82 per sq ft for a repayment period of 15 years, including coupon/interest that could be charged for the repayment period.]
"And as such, you have purposely induced the Cabinet to give its consent to the purchase, whereas the Cabinet would not have given its consent if the fact had been told to the Cabinet, and the fraud was committed with the knowledge that you could cause a loss to the Malaysian government, where you have an interest in the transaction pertaining to the fraud and you are bound under the law to protect it and, as such, you have committed an offence punishable under Section 418 of the Penal Code," it said.

PwC Report Point 2.11
According to the Hansard, there were differing views on the mode of acquisition of the Land, namely compulsory acquisition as against outright purchase. The Hansard mentioned that the Cabinet had deliberated on the differing views and decided that, in the best interest of the country and to avoid any complication, the Land be purchased outright.
Valuation and Property Services Department (JPPH) had in August 2001 placed a value of RM10.16 psf on the basis of compulsory acquisition with land partly reclaimed and no Infrastructure Works. Compulsory acquisition, had it been possible, would have cost a total of RM422 million compared to the purchase price of RM 1.088 billion(that is RM25 psf including Infrastructure Works with land fully reclaimed).
(I speculate that when PKA bought the land, it was only partially reclaimed with no Infrastructure Works)
Now this point in PwC Report is interesting to note.
Point 4.4
From our reviews of the agreement and others documents made available to us, we have identified the following issues regarding limits of authority and the way in which the project was managed and governed by the Board and management of PKA
The Report then list Issue No 1 as;
The proposal to purchase the Land was approved by the Cabinet. However, subsequent development proposals were not tabled to the Cabinet for approval.
Therefore, when PKA cannot pay up and ask the Government for a ‘soft loan’, Top Cat first has to write the memorandum (as published by MT) and addressed to Pak Lah’s Cabinet in order to seek retrospective approval and ratify what Chan Kong Choy had done. Well, rather Kong Choy and Pak Lah.

•On 9th October Cabinet agreed to defer implementation of the Oct. 2 decision, pending reports by Finance Ministry and Attorney-General’s Chambers.
•On 16th Oct. 2002, Cabinet informed of Attorney-General’s position that the land had too many encumbrances and “willing buyer, willing seller” transaction not proper. Finance Ministry asked to submit report.
•On 23rd October 2002, Cabinet agreed that land be acquired by Transport Ministry under section 3(1)(a) of Land Acquisition Act 1960 at RM10.16 psf. Kuala Dimensi Sdn Bhd (KDSB) to be given the opportunity to level and build basic infrastructure at a price to be negotiated and to be finalized by the Finance Ministry if it is above RM100 million. Among the reasons why the Cabinet reversed the Oct. 2, 2002 decision were:
1.The land has too many encumbrances with at least eight charges and five caveats and that Kuala Dimensi Sdn Bhd (KDSD) had made misrepresentation which may be fraudulent misrepresentation;
2.That the issue of “willing buyer and willing seller” does not arise as KDSB was unable to transfer title free from encumbrance to the government;
3.That from corporate information, KDSB was a company with bank liabilities.
On 6th November, 2002 Cabinet reversed its decision of Oct. 23, 2002 and upheld its Oct. 2, 2002 decision.

1 Land Acquisition
PKA acquired the ‘project land’ for RM1.088 billion.
The agreement was signed on 12 November 2002 and 10% of the purchase price was paid
The balance sum (RM 979,610,400) was agreed to be paid on a deferred basis over a period of 15 years at 7.5% starting in 2007 and full payable by 2017
On 30 July 2003, Kuala Dimensi via Special Port Vehicle Bhd issued a RM1.31 billion bond secured against payment stream from the Land Agreement.
In order for the bond issuance to be viable, the Ministry of Transport has issued a ‘Letter of Support’ to Malaysia Rating Agency and the Bond was rated ‘AAA’.
Ling Liong Sik has signed the letter on 28 May 2003. He retired the next day.
2 Development Cost
The principal development agreement was signed between PKA and Kuala Dimensi on in 2003 for RM519 million. This only involve the development of 400 acres of land.
However, a supplementary agreement was signed on 27 Mac 2004 where the initial development of 400 acres has been extended to the full 1,000 acres. This resulted the development to increase to RM 1.3 billion.
At this point in time, a Master Plan for the project has not been drawn up yet.
The masterplan was only prepared and finalized nine months later by Jebel Ali Free Zone International (Jafzi) and The Services Group Inc (TSG) recommended multiple phases over eight years for light industrial units
(However, PKA entered into a single phase RM1bil development contract with KDSB in March 2004)
The capital outlay for the development of ‘the project’ will be advanced by Kuala Dimensi and PKA will pay RM100 million in 2004, with the balance to be paid from 2007 until 2012, an annual payment basis ranging from RM53.89 million to RM230 million.
To fund the development cost, another tranche of bond was issued by Kuala Dimensi through Transhipment Megahub Bhd (TMB) that issued a total of RM1.455 billion on 3 November 2004.
Chan Kong Choy signed the ‘Letter of Support’ relating to the development agreement on 23 April 2004.
In Nov 2005, PKA awarded an additional development works (ADW) , valued at RM 510 million to Kuala Dimensi. The contract value will be fully repayable by 2011 at 5% a year interest.
Based on the agreement and ‘Letter of Support’, a third tranche of bond was issued via Valid Ventures Bhd (RM595 million) on 30 Mac 2006.
Chan Kong Choy signed his second ‘Letter of Support’ on 8 Dec 2005.
On 26 April 206, the final agreement for New Additional Development Works (NADW), valued at RM 336 million. The contract value will be fully repayable by 2010 at 7.5% a year interest.
Again, Chan Kong Choy issued his third ‘Letter of Support’ on 23 May 2006.
Kuala Dimensi issued the fourth and final tranche of bond valued at RM 410 million via Free Zone Capital Bhd .
In total, Kuala Dimensi has raised RM 3.77 billion to develop ‘the project’.
The project was completed in 2006 and consist of 512 warehouses, 2,000 covered parking bays, four office buildings, an exhibition centre and a four-star hotel.

Currently, if 'Kasilah' Gaadam's CBT trial were a measure of justice, Fishead Ling is odds on to be acquitted but Pigtail must go through the moves, having hauled in OC Phang (as a result of Tee Keat's constant prodding) to set the wheels in motion. There is so much deceit created from the hands of Pigtail's blatant disregard as to how justice is administered.
For the benefit of latecomers, the blatant case of 'boardroom plunder by 'Kasilah' Gaadam, the pertinent facts - [ Defendant had claimed trial to using his position as SLDB chairman for his financial gain by taking part in the decision to approve a proposal to sell 16.8 million shares held by the board in Sapi Plantations Sdn Bhd to Briskmark Enterprise Sdn Bhd, where he was promised 3.36 million shares in Sapi Plantations on Oct 22, 1996.
On the second charge, Kasitah was alleged to have cheated the SLDB board members by omitting to disclose the offer by PPB Oil Palms Sdn Bhd to allocate five shares of the company for each share of Sapi Plantations in the proposal by company for listing on the KLSE.
He thereby dishonestly induced them to approve the sale of 16.8 million shares held by SLDB in Sapi Plantations to Briskmark Enterprise whereas they would not have approved the sale if they had known about the offer by PPB Oil Palms ].
No matter how one cuts it, Kasilah's was a case of clear cut 'curi', fatty lined his own pockets while denying SLDB its rightful gain but Suraya Othman ruled the absence of witness during trial - members from the board that signed off the deal with Robert Kouk - was sufficient cause to say fatty didn't cheat and thus acquitted and charges thrown out the door.
Bloody waste of taxpayers money but priceless humour to see how badly we all got screwed while Pig tail, his team at Prosecutor's Office, sitting judge, PDRM and MACC all continue to rock and roll - damn BASTARDS ! And before I forget, another priceless gem if anyone cares to recall - "witness testimony taken abroad" in the case of Eric Chia( in Japan), "not admissible".
I'm certain we can all remember many facades of justice gone askew but in my books, the mother of all acts of deceit took place at the end of VK Lingam's inquiry (that was all it was), Pigtail's office had the audacity to suggest there was the possibility of Lingam being culpable BUT nothing in the Penal Code to charge him with !!! Damn and still no word when one Karpal Singh offered to assist.
You wait lah AG, there is nothing more I like than to take pleasure of turning your hide into bacon, your spine to make "Bak Kut Teh", and even the worst bits, hair and all - the python and lions and tigers at Zoo Negara wouldn't mind one bit I assure you.

Secondly this episode is really the final nail in the OSA coffin. The OSA is used more often to cover up cheating and corrupt practices than it is actually used to cover truly nationally sensitive secrets.
Having noted the above, now let us tackle this issue. It appears that, aside from the all hooha language in the documents published by RPK, the cabinet knows what they are doing. They cannot claim that Toon Ling was deceiving them, unless they claim they don't understand Bahasa and they misread the intention. Even for a person like me, born in the 50s, went to English schools,can understand the hooha jargon in the documents, how is it that the cabinet didn't?
